IN ANY CASE, THE AGGREGATE LIABILITY OF MOD PIZZA ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO MOD PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Mod Pizza takes food safety seriously and strives to comply with all applicable federal and state food safety regulations, including standards set by the U.S. Food and Drug Administration (FDA) and the U.S. Department of Agriculture (USDA).

Our food items may contain or come into contact with common allergens, including wheat, gluten, dairy, eggs, soy, peanuts, tree nuts, fish, and shellfish. While we make every effort to provide accurate allergen information on our website, we cannot guarantee that any menu item is completely free from allergens due to potential cross-contact during preparation. Customers with known food allergies or dietary restrictions are strongly encouraged to:

  • Contact us directly at [email protected] before placing an order.
  • Inform our staff of any allergies at the time of ordering at a physical location.
  • Consult with a healthcare professional regarding dietary decisions.

13. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, store, and protect your personal information in accordance with applicable laws, including:

  • The California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), applicable to California residents.
  • The Federal Trade Commission Act (FTC Act) governing unfair or deceptive acts or practices.
  • The Children's Online Privacy Protection Act (COPPA).
  • Other applicable state and federal privacy laws.

By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which our principal place of business is located, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the federal or state courts of competent jurisdiction in the United States. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such proceeding in such courts.

Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or other proprietary rights.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, controversy, or claim arising from or relating to these Terms or the Services informally by contacting us at [email protected] with a written description of your dispute. We will attempt to respond within thirty (30) days and work with you in good faith to resolve the matter informally.

15.2 Binding Arbitration

If the parties cannot resolve the dispute through informal negotiation within sixty (60) days, either party may elect to resolve the dispute through binding arbitration. Such arbitration shall be conducted under the rules of the American Arbitration Association (AAA) or another mutually agreed-upon arbitration body, and shall take place in the United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15.4 Exceptions

Notwithstanding the arbitration agreement above, either party may bring claims in small claims court for disputes within the applicable jurisdictional limits. Either party may also seek emergency injunctive or temporary restraining orders from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

Nothing in this section shall be deemed to waive any rights you may have under applicable consumer protection laws that cannot be waived by contract.

16. Term and Termination

16.1 Duration

These Terms shall remain in full force and effect for as long as you access or use the Services or maintain an account with us.

16.2 Termination by You

You may terminate your relationship with us and close your account at any time by contacting us at [email protected] or by using any account deletion features available within the Services. Termination will not relieve you of any obligations or liabilities incurred prior to the date of termination.

16.3 Termination by Us

We reserve the right to suspend or permanently terminate your access to the Services, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or any applicable law.
  • Fraudulent, abusive, or harmful behavior.
  • Conduct that we determine, in our sole discretion, is detrimental to the Company, our users, or third parties.
  • Prolonged inactivity of your account.
  • Discontinuation of the Services or any part thereof.

16.4 Effect of Termination

Upon termination of your access to the Services:

  • Your right to use the Services shall immediately cease.
  • Any outstanding obligations or liabilities remain enforceable.
  • Provisions of these Terms that by their nature should survive termination shall continue to apply, including intellectual property, indemnification, disclaimers, limitation of liability, and dispute resolution provisions.

17. Changes to Terms

We reserve the right to modify, revise, or update these Terms at any time in our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we may also provide additional notice, such as by sending an email to the address associated with your account or by displaying a prominent notice on our website.

Your continued access to or use of the Services after any modifications to the Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must immediately stop using the Services and, if applicable, close your account.

We encourage you to periodically review these Terms to stay informed of any updates. The most current version of these Terms will always be available at modhouse.click.

18. Severability

If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or in conflict with any applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall not be affected by the invalidity or unenforceability of any single provision.

The parties further agree that in the event any provision is found to be invalid or unenforceable, the intent behind such provision shall, to the extent possible, be given effect through a valid and enforceable substitute provision.

19. Entire Agreement and Waiver

These Terms, together with our Privacy Policy and any other legal notices, policies, or agreements published by us on the website, constitute the entire agreement between you and Mod Pizza with respect to your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. A waiver of any right or provision under these Terms shall only be effective if it is in writing and signed by an authorized representative of Mod Pizza. No single or partial exercise of any right or remedy shall preclude any other or further exercise of any right or remedy.

20. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms that is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government restrictions, war, civil unrest, labor strikes, supplier failures, power outages, internet service disruptions, or other force majeure events. In such circumstances, we will make reasonable efforts to resume normal operations as quickly as practicable.

21. Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment without such consent shall be null and void. We may freely assign, transfer, or delegate our rights and obligations under these Terms, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, without restriction and without notice to you.

22. Electronic Communications

By using the Services, you consent to receive electronic communications from us, including emails, in-app notifications, and other digital messages related to your account, transactions, and the Services.
